Franklin Resources, Inc. (“Franklin Templeton”) (NYSE: BEN) today announced the pricing of its underwritten public offering of $750 million aggregate principal amount of its 5.500% Notes due 2036 (the “Notes”) at an issue price of 99.137%. The offering is expected to close on August 10, 2026, subject to customary closing conditions. BofA Securities, Inc., HSBC Securities (USA) Inc. and Wells Fargo Securities, LLC are acting as bookrunners and representatives of the several underwriters for the offering. Citigroup Global Markets Inc., J.P. Morgan Securities LLC, Mizuho Securities USA LLC and RBC Capital Markets, LLC are also acting as bookrunners and Barclays Capital Inc., Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC, BNY Mellon Capital Markets, LLC, Independence Point Securities LLC and M&T Securities, Inc. are acting as co-managers for the offering.
The offering is being made pursuant to an effective registration statement filed by Franklin Resources, Inc. with the Securities and Exchange Commission on February 5, 2025.
Franklin Templeton intends to use the net proceeds of this offering to repay approximately $700 million of outstanding revolving borrowings under its Amended and Restated Credit Agreement (without any permanent reduction in the commitments provided thereunder) and for general corporate purposes.
